Terms of Use

1.1 License Grant – Subject to your compliance with this Agreement and payment of applicable fees, GeoGuruAI grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the Plugin on your WordPress website(s) for your internal business purposes of analyzing and optimizing web pages for AI visibility and generative search readiness.

1.2 Functionality – The Service provides automated analysis and optimization of website content, metadata, and schema structure to improve your site's interpretability by AI systems and search engines.

1.3 Dependencies – The Plugin depends on the WordPress environment and your hosting configuration. GeoGuruAI is not responsible for third-party systems, plugins, or hosting performance.

1.4 Technical Requirements – You are responsible for ensuring that your website and hosting environment meet the Plugin's requirements and for maintaining secure backups before installation or updates.

2.1 Access and Activation – The Plugin may require account registration at geoguru.ai or via your WordPress admin dashboard. You are responsible for maintaining the security of your login credentials.

2.2 Responsibility – You are solely responsible for actions performed under your account or website where the Plugin is installed.

2.3 Information Accuracy – You must provide accurate information for registration and billing and update it promptly if it changes. Personal data is handled in accordance with our Privacy Policy.

4.1 Availability – We use commercially reasonable efforts to keep the Service operational, but availability may be affected by maintenance or third-party systems (e.g., your hosting or network provider).

4.2 Maintenance – We may perform maintenance from time to time and will aim to minimize disruption.

4.3 Updates – GeoGuruAI may release updates, enhancements, or new versions of the Plugin. Continued use after an update constitutes acceptance of the revised version.

5.1 GeoGuruAI Measures – We employ reasonable security and encryption practices to protect Service data, but no system is completely secure.

5.2 Your Responsibility – You are responsible for the security of your WordPress site, including access control, backups, and any third-party integrations.

6.1 Subscription Fees – Some features may require a paid subscription as described on geoguru.ai/pricing.

6.2 Billing – Fees are billed through our payment processor (e.g., Stripe or WooCommerce). You must provide valid payment information and maintain it current.

6.3 Refunds – Fees are non-refundable except as required by law.

6.4 Taxes – You are responsible for all applicable taxes except those based on GeoGuruAI's net income.

7.1 Term – This Agreement begins upon your first installation or use of the Plugin and continues until terminated.

7.2 Termination by You – You may uninstall the Plugin or cancel your subscription at any time through your account dashboard.

7.3 Termination by GeoGuruAI – We may suspend or terminate your access if you breach these Terms or fail to pay applicable fees.

7.4 Effect of Termination – Upon termination, your license ends immediately, and you must cease all use and remove the Plugin from your website.

7.5 Survival – Sections 8 through 15 survive termination.

8.1 Ownership – GeoGuruAI retains all intellectual property rights in the Service, software, algorithms, and documentation. You acquire no ownership rights.

8.2 Feedback – Any feedback or suggestions you provide may be used freely by GeoGuruAI without obligation or compensation.

8.3 Usage Data – We may collect aggregated, anonymized data about usage for analytics and improvement, excluding personally identifiable content from your site.

10.1 Customer Content – You own your website content. GeoGuruAI processes limited metadata and analysis results only as necessary to provide and improve the Service.

10.2 Processing – GeoGuruAI acts as a processor (or service provider) where applicable and handles data in accordance with our Privacy Policy and any applicable data-processing addendum.

10.3 Compliance – You are responsible for ensuring your website and data comply with applicable data protection laws (e.g., GDPR, CCPA).

14.1 Governing Law and Venue – These Terms are governed by and construed under the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. Any dispute shall be resolved exclusively in the state or federal courts located in Delaware.

14.2 Publicity – With your prior consent, GeoGuruAI may list your company name or logo as a customer.

14.3 Assignment – You may not assign this Agreement without prior written consent. GeoGuruAI may assign in connection with a merger or sale of assets.

14.4 Severability – If any provision is unenforceable, the remaining provisions remain in effect.

14.5 Entire Agreement – This Agreement and the Privacy Policy constitute the entire agreement between you and GeoGuruAI.

14.6 Notices – All notices must be sent to legal@geoguru.ai.

15.1 Optional Access – From time to time, GeoGuruAI may offer access to new, experimental, or beta-stage features ("Beta Features"). Participation is optional.

15.2 No Warranties – Beta Features are provided "as is" for testing and evaluation purposes only, may contain defects or errors, and may be modified or discontinued at any time without notice.

15.3 Limited Support – Support for Beta Features may be limited or unavailable.

15.4 Feedback – If you choose to use Beta Features, you agree that GeoGuruAI may use your feedback or usage data to improve the Service and that no compensation or confidentiality obligations apply.

15.5 Liability Limitation – GeoGuruAI shall have no liability arising from or relating to your use of Beta Features.
